Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Pactaro, operated by Pactaro B.V. (“Pactaro”, “we”, “us”, or “our”). By creating an account or using the Services, you agree to be bound by these Terms.

A. Definitions

  • “Agreement” means these Terms of Service, together with any applicable Order Form and Pactaro's Privacy Policy, Cookie Policy, and Data Processing Agreement.
  • “Customer” means the company or individual that has entered into this Agreement by accepting these Terms.
  • “Services” means the Pactaro e-invoicing compliance platform, including invoice reading, conversion, delivery, and archiving.
  • “Customer Data” means invoice data, business contact information, and any other data you submit or make available to Pactaro through the Services.
  • “User” means an individual who accesses the Services on the Customer's behalf.
  • “Effective Date” is the date on which you first accept these Terms.

B. Account Terms

  • You must be a human. Accounts registered by bots or automated methods are not permitted.
  • You must provide your legal full name, a valid business email address, and accurate company information. Accounts created with false information may be terminated.
  • You are responsible for maintaining the security of your account and password. Pactaro cannot and will not be liable for any loss or damage resulting from your failure to keep your account credentials secure.
  • You must be 18 years of age or older to use the Services. You represent that you have the authority to bind the company or organisation on whose behalf you are registering.
  • One account may be shared among multiple Users within your organisation, subject to the seat limits on your plan.

C. Acceptable Use

You agree not to use the Services to:

  • Submit invoices that contain false, fraudulent, or misleading information.
  • Circumvent or attempt to circumvent any EU e-invoicing regulation — the purpose of the Services is to achieve compliance, not to avoid it.
  • Attempt to gain unauthorized access to any other customer's data.
  • Use the Services in a manner that violates any applicable law or regulation, including GDPR and EU VAT rules.
  • Reverse engineer, decompile, or otherwise attempt to discover the source code of the Services.
  • Resell or resell access to the Services without Pactaro's prior written consent.

D. Payment

  • Subscription fees are billed in advance, monthly or annually, as selected during sign-up or at the time of plan change.
  • Prices are quoted in euros and exclude VAT. VAT is added where required.
  • Payment is processed by Stripe (Ireland). We do not store card details.
  • If payment fails, we will notify you by email. Access may be suspended after 14 days of non-payment.
  • Annual billing saves the equivalent of two months compared to monthly billing.
  • We reserve the right to change prices with 30 days' advance notice. Price changes take effect at the next billing cycle.

E. Cancellation and Termination

  • You may cancel your account at any time from your account settings. Your access continues until the end of the current billing period.
  • We do not offer prorated refunds for unused days of a monthly subscription. For annual subscriptions, we offer a prorated refund for the unused months if cancelled within the first 30 days.
  • The Service is currently provided free of charge during a private beta period. No payment processor is integrated and no fees are collected. Paid plans will launch at a future date; current accounts will receive at least 30 days' advance notice before any fees apply, and the option to either accept founding-member pricing or close the account without obligation.
  • Upon termination, your account data will be deleted within 30 days, except for invoice records subject to statutory retention obligations — see our Privacy Policy for details.
  • Pactaro may terminate your account for violation of these Terms, with or without notice depending on severity.

F. Data Export

You can export your full invoice archive at any time — including after cancellation — as a ZIP file containing every archived invoice (XML and PDF), every hash, and metadata. The export function is available in your account settings. We will provide export access for a minimum of 60 days after account termination so you can retrieve your data before deletion.

G. Confidentiality

Each party agrees to protect the other's confidential information using at least the same degree of care it uses for its own confidential information, but no less than reasonable care. “Confidential Information” means any non-public information disclosed in connection with this Agreement that is designated as confidential or that should reasonably be understood to be confidential given the nature of the information. Confidential Information does not include information that: (a) is or becomes publicly known through no breach of this Agreement; (b) was rightfully known before disclosure; or (c) is independently developed without use of the disclosing party's confidential information.

H. Intellectual Property

Pactaro owns all rights in the Services, including all software, interfaces, documentation, and format conversion logic. Nothing in this Agreement transfers any intellectual property rights to you.

You retain all rights in your Customer Data. By using the Services, you grant Pactaro a limited licence to process Customer Data solely to provide the Services to you.

I. Service Availability

Pactaro strives to provide a reliable service. However, at current pricing tiers, no guaranteed uptime SLA is provided. We aim for high availability and will communicate planned maintenance in advance. We will not be liable for disruptions caused by factors outside our reasonable control, including third-party network operator downtime (Peppol, SDI, Chorus Pro), internet infrastructure failures, or force majeure events.

J. Limitation of Liability

To the maximum extent permitted by applicable law, Pactaro's total liability to you for any claims arising under or in connection with these Terms shall not exceed the amounts you paid to Pactaro in the 12 months preceding the claim.

Pactaro shall not be liable for indirect, incidental, consequential, or punitive damages, including lost profits or data loss, even if advised of the possibility of such damages.

Nothing in this section limits liability for death, personal injury, or fraud caused by Pactaro's negligence, or any other liability that cannot be excluded by applicable law.

Important: Pactaro converts and delivers invoices based on the data it receives from your accounting software. We are not a licensed tax advisor. You remain responsible for ensuring your invoices comply with applicable tax law and that the data you submit is accurate.

K. Changes to These Terms

We may update these Terms from time to time. For material changes, we will provide at least 30 days' advance notice by email and in-app notification. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms. If you disagree with a change, you may cancel your account before it takes effect.

L. Governing Law and Jurisdiction

These Terms are governed by the laws of the Netherlands, excluding conflict of law provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Amsterdam, Netherlands.
